GEOTEK OIL SERVICES HOLDING LIMITED (GOSH), which owns 99 ordinary shares of GEOTEK Holding CJSC, which constitutes 99% of the authorized capital, INTEGRA HOLDING (Integra Group (Integra) and Schlumberger Oilfield Holdings Limited (Schlumberger) completed a deal to combine their seismic businesses through participation in IG SEISMIC SERVICES LIMITED (IG Seismic Services Limited (IGSS).
As a result of the above transaction, IGSS became the owner of 99% of the authorized capital of ZJSC GEOTEK Holding, in turn, GOSH with a 52% stake, Integra with a 36% stake and Schlumberger with a 12% stake became shareholders of IGSS.
Thus, the owner of a blocking stake in ZJSC GEOTEK Holding, the Volga Resources fund, received about 13%, the top management of the company, headed by its founder Nikolai Levitsky (Chairman of the Board of Directors of GEOTEK Holding CJSC - about 27%, institutional investors will receive 12% of IGSS shares. The share of Integra Group of Companies in IGSS decreased from 75% to 36%, the share of Schlumberger - from 25% to 12%.
The merger of IGSS with GEOTEK Holding CJSC will create the largest company in Russia in the field of geophysics and seismic research and one of the largest in the world.
